Whether an individual selling goods on e-commerce platforms is required to register a business depends on the nature and scale of their activities.

1. Legal Basis

Pursuant to Article 3 of Decree No. 39/2007/ND-CP, an individual engaged in commercial activities is a person who independently and regularly conducts one or several activities related to the purchase and sale of goods or provision of services for profit-making purposes.

However, the Decree also stipulates that individuals who conduct commercial activities independently but not on a regular basis, or who engage in mobile business activities without a fixed business location, are not required to register their business.

2. Cases Not Required to Register a Business

From the above provisions, it can be understood that:

• Individuals selling goods on a small scale on e-commerce platforms,
• Whose activities are irregular and non-continuous,
• Without a fixed place of business,

Although business registration is not required, individuals conducting business on e-commerce platforms must still declare and pay taxes in accordance with Decree No. 117/2025/ND-CP.

3. Cases Required to Register a Business

Individuals conducting business on e-commerce platforms are required to register a business if:

• Their sales activities are regular and continuous;
• They operate on a large scale with significant revenue;
• They maintain warehouses and stable sources of goods;
• They employ or hire workers.

Registration may be carried out in the form of a household business or an enterprise to ensure compliance with legal regulations and tax obligations.

4. Requirements from E-commerce Platforms

Although not legally mandatory for small-scale individual sellers, many e-commerce platforms (such as Shopee, Tiki, Lazada, TikTok Shop) often require sellers to provide a Business Registration Certificate to ensure transparency, better management of seller activities, and compliance with e-commerce regulations
